Welcome to Jayasad Marketplace (“Jayasad Nexus Tx”, “Jayasad”, “we”, “us”, or “our”). By accessing, browsing, registering as a vendor, creating a digital storefront, or utilizing our website located at https://jayasad.com, you agree to be legally bound by these Terms & Conditions.
1. Platform Overview & Directory Status
Global Showcase Venue: Jayasad Marketplace operates strictly as an online commercial directory, digital showcase, and vendor discovery venue. We provide digital infrastructure that allows independent vendors to list and display products and services to a global audience.
No Direct Transaction Processing: Jayasad does not process checkout sales, collect buyer funds, hold money in escrow, or execute payment transactions between buyers and vendors.
Off-Platform Vendor Communication: All negotiations, agreements, payments, shipping, and delivery arrangements occur directly between the buyer and the vendor off-platform (e.g., via WhatsApp, telephone, or external communication channels).
2. Mandatory Vendor Agreement on Customer Refunds & Service Guidelines
By creating a storefront or listing items on Jayasad Marketplace, every vendor legally binds themselves to the following platform-wide standards:
Mandatory 24-Hour Refund Rule for Physical Goods: All physical goods vendors agree to honor a mandatory 24-hour post-delivery inspection and refund rule for buyers who receive defective, damaged, incomplete, or materially incorrect products (“What I Ordered vs. What I Got”).
Compliance with Category Rules: Vendors listing services, artisan crafts, or perishable items agree to adhere to the statutory dispute and rectification guidelines detailed in Section C of our Refund and Return Policy.
Platform Enforcement: Refusal to honor valid 24-hour buyer refund claims or engaging in deceptive selling practices constitutes a material breach of these Terms, resulting in immediate store delisting, account termination, and forfeiture of all platform subscription fees.
3. Limitation of Liability & Transaction Disclaimer
No Liability for Off-Platform Deals: Jayasad Marketplace is not a party to any contract, agreement, sale, payment, or delivery arranged between buyers and vendors. We explicitly disclaim all financial, legal, and operational liability for product quality, service delivery failures, non-fulfillment, physical damage, fraud, or legal disputes arising from off-platform dealings.
Buyer Discretion & Due Diligence: Buyers interact with, hire, and pay vendors entirely at their own risk. Jayasad strongly advises all buyers to inspect goods upon delivery and exercise caution before transferring funds directly to vendors.
4. Vendor Conduct & Acceptable Use Policy
Vendors registering for a showcase store agree to maintain strictly professional standards:
100% Vendor Responsibility: Vendors are solely responsible for legal compliance, product safety, service delivery, copyright adherence, stock accuracy, and quality of items listed on their storefront.
Prohibited Goods & Services: Listing counterfeit items, stolen property, hazardous substances, weapons, illegal drugs, unauthorized branded goods, fraudulent financial schemes, or explicit/harmful content is strictly prohibited.
Immediate Termination: Any vendor found engaging in fraud, misrepresentation, or listing prohibited items will face immediate account termination without refund of active storefront subscription fees.
5. Space Rental & Subscription Fees
Platform Access Fees: Jayasad Marketplace charges vendors recurring storefront space rental subscription fees (e.g., ₦7,500 annual plan) for directory placement, dashboard tools, and marketing showcase visibility.
Zero Commission Model: Subscription fees pay strictly for website display infrastructure. Jayasad takes 0% commission on sales arranged independently between buyers and sellers.
Refund Policy: All vendor subscription fees are governed by Section A of the Refund and Return Policy.
6. Intellectual Property & Listing Data
Vendor Content: Vendors retain ownership of logos, graphics, photos, and descriptions uploaded to their store, but grant Jayasad Marketplace a global, royalty-free license to host, display, and promote these assets across platform channels.
Platform Protection: Scraping platform directory data, uploading malicious software, reverse-engineering software, or attempting to disrupt Jayasad servers is strictly prohibited.
7. Platform Modifications & Regulatory Updates
Jayasad Marketplace reserves the right to modify, restrict, update, or suspend directory listings or site features at any time to preserve security, system integrity, or compliance with relevant local consumer protection laws.
